Terms & Conditions — Sedibeng Commercial Solutions

1) Acceptance

By subscribing to any plan or using our services, you (“Client”, “you”) agree to these Terms & Conditions. If you do not agree, please do not use our services.

2) Plans, Pricing & Billing

Setup fee: Commerce plan carries a once‑off R1500 once-off setup fee (non‑refundable).
Plans: Starter (R99/m), Business (R199/m), Commerce (R299/m). Features are described on our site and may evolve over time to maintain or improve service quality.
Billing cycle: Monthly in advance. Invoices/charges are issued via Paystack on your subscription date.
Payment method: Paystack subscription links only (card-on-file). We do not accept EFT or cash for subscriptions.
Taxes: If applicable, taxes are added at checkout and are your responsibility.

3) Term, Cancellation & Notice

Month-to-month. There is no fixed term.
Cancel anytime with a 30‑day written notice (email is sufficient). Your service remains active through the notice period if your account is in good standing.
Refunds: Fees are non‑refundable once billed, except where required by law.

4) Non‑Payment, Suspension & Deletion

If payment fails or is overdue, the site may be suspended after 3 days of non‑payment.
If unresolved, the site (and associated files) may be permanently deleted within 7 days of the missed payment date.
Reactivation after suspension may require clearing outstanding amounts and, where applicable, a restoration effort (if data is still available within backup retention windows).

5) Site Export on Valid Cancellation

Upon valid cancellation with no arrears, if you have stayed with us in excess of 12 months, we can provide a one‑time site export (static files or CMS export) if requested during the 30‑day notice period.
Export excludes third‑party licensed assets, paid plugins, or proprietary tooling we cannot legally redistribute. You are responsible for import into your next host.

6) Features, Backups & Support

Backups: As per plan: Starter monthly (7‑day retention), Business daily (14‑day retention), Commerce daily (30‑day retention).
Email & domains: Included quantities and TLDs as per plan (see plan details). Domain registrations/renewals are subject to registry rules.
Support: Starter—next business day (email), Business—same day (~4h during business hours), Commerce—target ~2h during business hours. These are targets, not guarantees.
Security: We apply reasonable safeguards (e.g., SSL, updates). No system is 100% secure; you should maintain your own copies of critical data.

7) Content, Ownership & Licences

Your content: You retain ownership of content you provide (text, images, trademarks). You grant us a licence to host, process, and display it for the service.
Our materials: We retain ownership of our pre‑existing IP, frameworks, templates, and tools. Where we incorporate such materials, you receive a licence to use them within your subscription.
Acceptable use: No illegal, infringing, or harmful content; no spam, malware, or abusive behaviour; no violation of third‑party rights.

8) Third‑Party Services

We rely on third‑party providers (e.g., Paystack, security scanners, CDNs). Their performance and terms may affect the service. You agree to comply with any relevant third‑party terms.

9) Warranties & Liability

The service is provided on an “as is” and “as available” basis. We disclaim warranties to the fullest extent permitted by law.
To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service is limited to the fees paid by you to us in the three (3) months preceding the claim.

10) Privacy & Data

We handle personal information in a manner consistent with applicable law (including POPIA where applicable). You are responsible for your own compliance obligations as a responsible party for data you collect through your site.

11) Changes to the Service or Terms

We may update features or make reasonable changes to these Terms to reflect operational, legal, or security needs. Material changes will be posted here with a new “Last updated” date. Continued use constitutes acceptance.

12) Governing Law & Disputes

These Terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of competent South African courts.
